These Terms & Conditions ("Terms") form a binding agreement between you and Providence Investment & Allied Ltd governing your use of the PlotPay mobile applications, website, and any savings goal, plot reservation, or land allocation made through them. Please read them carefully. By creating an account, starting a goal, or making a payment, you accept these Terms.

1. Definitions

In these Terms:

  • "PlotPay", "we", "us" means Providence Investment & Allied Ltd, a company incorporated in the Federal Republic of Nigeria, and its mobile applications and website.
  • "Estate" means a residential estate or farm land development listed on PlotPay, divided into numbered Plots.
  • "Plot" means a specific, numbered parcel of land within an Estate, of the size shown on its listing.
  • "Goal" means your savings plan toward the purchase of a specific Plot over a chosen Tenor.
  • "Tenor" means the payment period you select for a Goal: 6 or 12 months, as offered on the listing.
  • "Deposit" means the initial payment that starts a Goal, from ₦300,000 per plot or ₦1,200,000 per acre, as shown on the listing.
  • "Confirmed Payment" means a payment that has been received in our designated company bank account and verified by our operations team against your uploaded receipt.
  • "Reserved" means a Plot that has been taken off the market for you following your first Confirmed Payment on the related Goal.
  • "Allocated" means the point at which your Confirmed Payments reach 100% of a Goal and the Plot is formally assigned to you for documentation.
  • "Agent" means an independent field agent accredited by PlotPay to support payments and estate inspections.
  • "Yield Share" means your proportional share of net harvest proceeds on a farm Estate, as described on its listing.

2. Nature of the service

PlotPay operates a savings-and-allocation platform for real land in Nigeria. You save monthly toward a specific Plot; on completion of your plan, the Plot is Allocated and documented to you. In using PlotPay you acknowledge and agree that:

  • PlotPay is not a bank, a microfinance institution, a cooperative society, or a deposit-taking institution, and does not provide banking services.
  • PlotPay is not an investment adviser, fund manager, or capital market operator. Payments you make are applied toward the purchase of land. They are not deposits, units, securities, or financial investments, and they do not earn interest.
  • A Yield Share on a farm Estate is a share of actual agricultural output proceeds, not a fixed return, interest payment, or guaranteed investment product.
  • Your rights in relation to a Plot arise under these Terms and the documentation issued at Allocation.

3. Eligibility and registration

  • You must be at least 18 years old and legally capable of entering a binding contract under Nigerian law.
  • You must register with accurate, current, and complete information, and keep that information up to date.
  • One account per person. Corporate subscriptions are supported: provide your company's registered details and BC (incorporation) number during onboarding.
  • Buying for a child: on designated estates (such as Tiara Cradle Estate), a parent or legal guardian may purchase in the child's name. The parent or guardian operates the account, provides the child's details for the land documents, and acts on the child's behalf until the child turns 18.
  • You are responsible for everything that happens under your account. Keep your sign-in credentials and one-time passcodes private.
  • We may decline, suspend, or close accounts where information is false, incomplete, or cannot be verified.

4. Identity verification and anti-money laundering

PlotPay maintains an anti-money-laundering and counter-terrorism financing (AML/CFT) compliance programme in line with the Money Laundering (Prevention and Prohibition) Act 2022, related regulations, and the obligations applicable to real-estate businesses in Nigeria, including registration and reporting through the Special Control Unit Against Money Laundering (SCUML) where required.

  • We may ask you to provide a valid government-issued ID, proof of address, source-of-funds information, or other verification documents before or after you start a Goal.
  • We may verify your information against public and private databases.
  • Transactions are monitored. We may pause, reverse, or refuse payments, and may report suspicious activity to the Nigerian Financial Intelligence Unit (NFIU) or other authorities, without notifying you where the law prohibits it.
  • Failure or refusal to complete verification may result in suspension of your account and a refund of Confirmed Payments, less any documented costs already incurred on your behalf.

5. Estates and listings

  • Each listing shows the Estate's location, Plot sizes, prices, title status, amenities, and, for farm Estates, crop, agronomy partner, and expected harvest cycles.
  • Listings are prepared from surveys, title documents, and in-person inspections by our field team, and we take reasonable care to keep them accurate. Images may include illustrative photography of the Estate or its surroundings.
  • Plot availability shown in the app is indicative only. A Plot shown as available may become unavailable at any time before your Goal is confirmed (Section 7).
  • We may add, pause, reprice, or withdraw Estates and Plots at any time. Changes never affect a Goal you have already started (Section 7).

6. Consumer rights

Nothing in these Terms excludes, restricts, or modifies any right you have under the Federal Competition and Consumer Protection Act 2018 or any other applicable consumer law that cannot lawfully be excluded. You may always contact the Federal Competition and Consumer Protection Commission (FCCPC) about our service.

7. Goals, reservation, and price lock

7.1 Starting a Goal

  • You select an available Plot or acreage, and a payment plan of 6 or 12 months as offered on the listing. The app shows the full schedule (Deposit, monthly amounts, and any plan interest) before you confirm.
  • Longer plans attract interest on the total cost (5-20% depending on the Estate and plan), always shown before you commit. Shorter plans cost less overall.
  • Residential Estates sell per plot and per acre (6 plots make an acre); farm Estates sell strictly per acre, including multi-acre bundles where offered.
  • The price of your Plot or acreage is locked when your Goal is created and will not change for the life of that Goal, including where the Estate later moves from pre-launch to actual pricing for new buyers.
  • Certain fees are one-off and payable with or alongside your plan, as stated on the listing, for example, statutory (documentation) fees and farm setup fees on farm Estates.

7.2 Reservation

  • Your Plot or acreage is Reserved (marked reserved in the app and taken off the market for you) when your Deposit becomes a Confirmed Payment.
  • Until that confirmation, the land remains available to other buyers. If another buyer's Deposit is confirmed first, any payment you made will be applied to an alternative Plot of your choice in the same Estate (subject to availability) or refunded in full.
  • Reservation does not transfer title. Title passes only on Allocation and completion of documentation (Section 12).

8. Payments and receipt verification

8.1 How to pay

  • Pay only by bank transfer to the official company bank accounts displayed in the app, held in the name of Providence Investment & Allied Ltd (Naira, US Dollar, and Euro accounts are available). Never pay into a personal account, and never hand cash to anyone claiming to represent PlotPay.
  • After each transfer, upload a clear photo or PDF of your payment receipt in the app, using the correct Goal reference.
  • Prices are quoted in Nigerian Naira. Where you pay in USD or EUR, the Naira equivalent is applied at the prevailing rate on the date your payment is confirmed. Your bank's transfer charges are yours.

8.2 Verification

  • A payment counts toward your Goal only when it becomes a Confirmed Payment, meaning the funds have landed in our company account and our operations team has verified your receipt. Verification normally completes within 72 hours of upload.
  • If a receipt is unclear, mismatched, or cannot be verified, we will ask for more information rather than reject it outright. Deliberately false receipts are dealt with under Section 15.
  • A payment that arrives without a usable reference may take longer to apply; keep your transfer narration and receipt reference consistent with what the app shows.
  • We are not responsible for transfers made to accounts other than the official company account shown in the app, and such transfers do not count toward any Goal.

9. Agent-assisted payments and inspections

  • Accredited Agents can help you complete payments and can accompany you on estate inspections. Always confirm the Agent's identity inside the app before paying or travelling.
  • Agent-assisted payments are verified exactly like direct payments. They count only when confirmed by our operations team into the official company account.
  • Agents are independent contractors, not employees. They are not authorised to vary these Terms, quote prices other than those in the app, make promises about future land values, or receive payments into personal accounts. Report any Agent who asks you to do any of these things.

10. Missed payments, grace period, and default

  • Your monthly amount and due dates are shown in the app. You can pay early, pay more than one month at once, or catch up after a missed month at any time. Your plan simply picks up where it paused.
  • Any delay or extension beyond your approved payment period incurs a 5% charge on the outstanding balance, payable in addition to the existing balance, as stated in the subscription agreement.
  • If no payment is received on a Goal for 90 consecutive days, we may mark the Goal as defaulted and release the reservation, after giving you at least 14 days' notice in the app and by email.
  • Defaulting does not forfeit your payments: your Confirmed Payments remain refundable under Section 11.

11. Refunds and cancellation

11.1 Before Allocation

  • You may request a refund of payments on a Goal at any time before Allocation, from within the app.
  • Refunds are processed at 60% of the total amount paid on the Goal and completed within 6 months of the request date, to the verified bank account you provide, in line with our subscription agreement.
  • The 40% retained covers reservation, administrative, documentation, and opportunity costs already incurred on your behalf.
  • Statutory (documentation) fees and farm setup fees that have already been applied to your file or acreage are not refundable.

11.2 After Allocation

Once a Plot is Allocated and documentation has been issued in your name, the sale is final and refunds are no longer available. You may sell or transfer your interest in the Plot subject to the Estate's documentation and applicable law.

12. Allocation, title, and documentation

  • When your Confirmed Payments reach 100% of your Goal (including applicable fees), your Plot or acreage is Allocated to you and our documentation process begins.
  • Each listing states the title it delivers, for example, a Certificate of Occupancy (C of O), a Registered Survey with C of O processed in the client's name, or Government Excision with C of O in view, and the documents you receive follow that listing.
  • Documentation for residential purchases typically includes a Deed of Assignment and registered survey plan, plus the title documents stated on the listing.
  • Statutory (documentation) fees, government, registry, stamping, and perfection fees are borne as stated on the listing. Where a listing says such fees are excluded, they are payable by you at cost, with official receipts provided.
  • Documentation is typically completed within 3-6 months of Allocation where third-party approvals (such as C of O issuance) are required; we will keep you updated on progress in the app.
  • Physical allocation (beacon pointing and handover) is scheduled with you once documentation is under way. For land bought in a child's name, documents are issued in the child's name exactly as provided by the parent or guardian.

13. Farm Estates and Yield Shares

  • Farm Estates are cultivated and managed on your behalf by our farm management team, with the services stated on the listing. At Providence Farm Resort & Film Village, this includes water irrigation, 24/7 security, perimeter fencing, farm insurance, and farm management.
  • Each acre is established with the crops stated on the listing. At Providence Farm Resort, approximately 500 cocoa trees and 500 plantain trees per acre, subject to the farm setup fee stated on the listing.
  • Planting commences only upon full payment. Where payment is not concluded within the active planting (raining) season, your planting is deferred to the next planting season, and harvest and returns are delayed accordingly. The company bears no liability for such deferral.
  • Crops mature on their natural timelines: plantain produces yearly, while cocoa yields from about the third year (projected around 1,000kg per acre). Projections are honest estimates, not guarantees.
  • Your Yield Share is calculated from the Estate's actual net harvest proceeds per cycle, in the proportion described on the listing, and is paid after each completed harvest cycle.
  • Yields depend on weather, soil conditions, pests, input costs, and market prices, all outside our control. Past or projected yields do not guarantee future yields, and a cycle may produce less than expected, or nothing.
  • A Yield Share is not interest, a fixed return, or a deposit return, and it does not affect your ownership of the underlying acreage.

14. Government acquisition and title risk

Land in Nigeria is subject to the Land Use Act 1978, under which all land in each state is held in trust by the Governor. If, before Allocation, a Plot is compulsorily acquired by government or becomes unavailable due to a title defect we could not reasonably have detected, we will offer you, at your choice: (a) a comparable Plot in the same or a similar Estate, or (b) a full refund of your Confirmed Payments on that Goal. If acquisition happens after Allocation, any compensation paid in respect of the Plot belongs to you, and we will assist you in claiming it.

15. Acceptable use

  • Do not upload forged, altered, duplicate, or another person's payment receipts. Uploading a false receipt is fraud: it terminates your account, voids any related reservation, and may be reported to law enforcement.
  • Do not use PlotPay to launder money, move funds for third parties, or for any unlawful purpose.
  • Do not share your account, access another person's account, probe or disrupt our systems, or scrape the platform.
  • Do not impersonate PlotPay staff or Agents, or use our name or branding without written permission.

16. Intellectual property

The PlotPay name, logo, app, website, and all content on them are owned by or licensed to Providence Investment & Allied Ltd. We grant you a limited, non-exclusive, non-transferable licence to use the app for its intended purpose. You retain ownership of documents you upload; you grant us the right to use them to operate and verify your account and Goals.

17. Disclaimers

  • PlotPay does not provide financial, investment, legal, or tax advice. Content in the app or on the website is general information only.
  • We do not guarantee future land values or farm yields.
  • The app and website are provided "as is" and "as available". We do not warrant uninterrupted availability, though we work hard to keep the service running.
  • We are not responsible for the acts or omissions of banks, payment networks, government registries, or agronomy partners, though we choose them carefully and manage them actively.

18. Limitation of liability

To the maximum extent permitted by law: (a) we are not liable for any indirect, incidental, special, or consequential loss (including lost profits or lost opportunity); and (b) our total aggregate liability in connection with a Goal is limited to the total Confirmed Payments you have made toward that Goal. Nothing in this section limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot be limited under Nigerian law.

19. Indemnity

You agree to indemnify and hold PlotPay harmless from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the platform, or your violation of any law or third-party right.

20. Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including strikes, civil unrest, epidemics, flooding or extreme weather, power or network failures, changes in law, or government action. If such an event materially delays a Goal or Allocation for more than 90 days, you may request a refund under Section 11.

21. Suspension and termination

  • We may suspend your account immediately for suspected fraud, forged receipts, AML concerns, or a material breach of these Terms.
  • You may close your account at any time; active Goals will be handled under the refund rules in Section 11.
  • Termination does not affect rights and obligations that have already accrued, including our obligation to complete an Allocation or pay a refund that is due.

22. Governing law and dispute resolution

  • These Terms are governed by the laws of the Federal Republic of Nigeria.
  • We will first try to resolve any dispute informally. Contact support and we will respond within 14 days.
  • If we cannot resolve it informally, the dispute will be referred to mediation and, failing that, finally resolved by arbitration in Lagos, Nigeria, under the Arbitration and Mediation Act 2023, before a sole arbitrator, in English.
  • Nothing in this section stops you from bringing a claim in any court of competent jurisdiction (including for small claims) or from approaching the FCCPC.

23. Notices and electronic communications

You agree to receive notices, statements, and disclosures electronically: in the app, by push notification, or by email to the address on your account. Electronic communications satisfy any legal requirement for written notice. Keep your contact details current.

24. Changes to these Terms

We may update these Terms from time to time. We will give at least 14 days' notice of material changes in the app or by email. Changes never apply retroactively to a Goal you have already started: the price, Tenor, and refund terms of an active Goal remain as agreed when you started it. Continuing to use PlotPay after changes take effect means you accept them.

25. General

  • If any part of these Terms is found unenforceable, the rest continues in full force.
  • A failure or delay in enforcing a right is not a waiver of that right.
  • You may not transfer your account or Goal without our written consent; we may assign our obligations to an affiliate or successor on notice to you.
  • These Terms, together with the Privacy Policy and any listing-specific disclosures, are the entire agreement between you and PlotPay.
